Situation


A large UK services company needed help in coordinating the transition planning (pre-deal and post-deal) of the acquisition of a major Indian BPO company. This target served banking institutions and consumer and business financial services companies, and offered them finance and accounting services, loyalty programs and marketing support.

 

Approach


We facilitated and coordinated the planning work between the various acquisition workstreams (Leadership, HR, Communications, Operations, Sales & Marketing, Finance, Legal & Commercial, Technology). We obtained the buy-in from owners and contributors with regards to their responsibilities, accountabilities, and deadlines. We designed the reporting process and tools of the integration, and trained the PMO staff and handed over these files. When creating the master plan, we took into account the available transition resources and budget, as well as the monitoring of Conditions Precedent. We monitored the deal preparation progress and supported the Transition Team. We successfully presented the transition plan to the acquiring company senior directors and to the target company's CEO and his advisers ahead of the binding offer. Besides, we helped prepare investment packs and transition packs. We also provided advice on target discount rate, CFROI computation, and accounting treatments for acquisition goodwill and operating leases. Finally, we designed the framework for and coordinated the compliance review.

 

Results


Day1 Deliverables and communications materials were prepared on time, and the target was successfully integrated.
